Standard Conditions of Supply and Service

1. Definitions
“Seller” means UK LCMS Services Ltd. “Customer” means the organisation or individual accepting
a quotation. “Goods” means any parts, assemblies, components, or equipment supplied. “Services”
means engineering labour, installation, maintenance, testing, consultancy, or related technical
support.
2. Basis of Contract
All quotations are subject to these Standard Conditions. Acceptance of a quotation constitutes
acceptance of these Conditions. No variation shall be binding unless agreed in writing by the Seller.
3. Scope of Work
Only work specified in the quotation is included. Additional work will be quoted separately and shall
not proceed without approval. Engineer visit dates are held for five working days pending written
acceptance.
4. Price & Payment
Payment terms are 30 days from invoice date unless agreed otherwise. Statutory interest may be
charged on overdue accounts. Title to Goods remains with the Seller until payment is received in
full.
5. Travel & Location Charges
Zone 1 – Up to 2 hours travel: No travel charge. Zone 2 – 2–4 hours travel: Travel charged at 0.5
day rate. Zone 3 – Over 4 hours travel or overnight required: Travel charged at 1 full day rate.
International travel charged at agreed rates plus travel costs. All travel charges itemised in
quotation.
6. Delivery & Risk
Risk in Goods passes upon delivery. Transit damage must be reported within 48 hours.
7. Cancellation
Product orders may only be cancelled prior to dispatch with written consent. Service cancellations
with less than 3 working days’ notice may incur 50% labour plus non-refundable travel costs.
8. Returns
Returns require prior written authorisation. Only unused goods within 30 days and in original sealed
packaging will be considered. Restocking charge of 20% may apply.
9. Used & Independently Tested Assemblies
Where used or previously installed assemblies or components are supplied, such Goods are
independently tested and verified operational at the time of supply unless expressly stated
otherwise in writing. Used Goods are not supplied as new, rebuilt, or refurbished unless explicitly
specified. Verification confirms operational performance at the time of testing and does not
constitute a guarantee of future service life.
10. Warranty
Used verified working components carry a 90-day replacement-only warranty unless otherwise
agreed. Warranty excludes associated equipment, consequential loss, downtime, or secondary
losses. Warranty void if failure results from improper installation, incompatible systems, unstable
power, contamination, misuse, or environmental conditions outside specification.
11. Maintenance Risk, Latent Defects & System Failure
Preventative maintenance, repair, calibration and diagnostic procedures may require system
venting, disassembly, electrical testing, power cycling, firmware access, vacuum restart, or
mechanical adjustment. The Customer acknowledges that on ageing, heavily used, or previously
serviced instruments, such procedures may expose pre-existing faults, latent defects, worn
components, or end-of-life assemblies. UK LCMS Services Ltd shall not be held liable for the failure
of components already defective, degraded, contaminated, or at end of operational life; nor for
failures occurring during standard service procedures carried out in accordance with accepted
engineering practice; nor for failures resulting from pre-existing wear, contamination, electrical
instability, vacuum integrity issues, or environmental conditions beyond the Seller’s control.
Diagnosis and fault identification constitute a professional engineering service and are chargeable
whether or not full repair is subsequently achievable. Liability shall arise only in cases of proven
negligence, wilful misconduct, or failure to follow accepted engineering standards. UK LCMS
Services Ltd shall not be responsible for indirect, consequential, regulatory, production, or business
interruption losses arising from system downtime.
12. Limitation of Liability
Total liability is limited to the value of the supplied component or service giving rise to the claim. No
liability for indirect or consequential losses. Nothing excludes liability for death or personal injury
caused by negligence.
13. Site Access & Safety
Customer must provide safe access and suitable working conditions. Work may be suspended if
conditions are unsafe.
14. Force Majeure
No liability for delay or failure due to events beyond reasonable control including travel disruption,
supply delays, illness, or governmental restrictions.
15. Governing Law
These Conditions are governed by the laws of England and Wales.
